Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, applications, and integrations (collectively, the "Service") provided by Furlough AI, Inc. ("Furlough," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
Furlough provides organizational intelligence software that passively ingests data from your company's existing tools — including but not limited to GitHub, Jira, Slack, Discord, Confluence, Notion, and Granola — to map knowledge ownership, expertise concentration, and documentation gaps across your engineering organization. The Service is deployed at the company level and sold to authorized organizational leadership.
2. Eligibility and Authorization
The Service is intended for use by businesses and organizations, not individual consumers. By subscribing to the Service, you represent that:
- You have the authority to bind your organization to these Terms.
- You have obtained any consents required by applicable law to deploy the Service within your organization.
- You are authorized to connect the third-party platforms and data sources used by the Service.
3. Third-Party Integrations
The Service connects to third-party platforms ("Integrations") to ingest signals about your organization's engineering activity. These Integrations currently include GitHub, Jira, Slack, Discord, Confluence, Notion, and Granola, and may be expanded in the future. By enabling an Integration, you acknowledge that:
- You have the right to authorize access to your organization's data on that platform.
- Furlough accesses data through official APIs in read-only mode and does not modify, delete, or post content to any connected platform.
- You remain subject to the terms of service of each third-party platform and are responsible for compliance with those terms.
- Furlough is not responsible for the availability, accuracy, or policies of any third-party platform.
4. Data and Ownership
Your organization retains all ownership of data ingested through the Service ("Customer Data"). Furlough processes Customer Data solely to provide the Service and does not sell, share, or use Customer Data for any purpose other than delivering the Service to you. Derived insights (knowledge maps, risk scores, ownership graphs) are produced for your exclusive use.
5. Acceptable Use
You agree not to:
- Use the Service to make individual employment decisions based solely on automated outputs without human review.
- Reverse-engineer, decompile, or attempt to extract source code from the Service.
- Use the Service in violation of any applicable law, regulation, or third-party right.
- Resell, sublicense, or provide the Service to third parties without written consent.
6. Availability and Support
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.
7. Termination
Either party may terminate the Service at any time with written notice. Upon termination, Furlough will delete all Customer Data within 30 days unless a longer retention period is required by law or requested by you in writing. Derived insights will also be deleted.
8. Limitation of Liability
To the maximum extent permitted by law, Furlough's total liability for any claims arising from these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim. Furlough shall not be liable for indirect, incidental, special, consequential, or punitive damages.
9. Disclaimer
The Service is provided "as is" and "as available." Furlough makes no warranties, express or implied, regarding the accuracy, completeness, or reliability of the insights produced by the Service. Organizational decisions should incorporate human judgment and not rely solely on automated outputs.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via the email address associated with your account at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
